ABOUT LANDCARE NSW
Landcare NSW Limited is the peak body for community Landcare in NSW. The primary purpose of the organisation is to serve as a ‘resource advocate’ to ensure that the thousands of Landcarers in NSW have all they need to care for our land, environment and communities.
The organisation is a company limited by guarantee and governed by an independent board composed of six Ordinary Directors, elected by Landcare NSW member groups and four Independent directors appointed by the Nominations Committee for three-year terms.
CALL FOR NOMINATIONS
As a representative body, it is important for Landcare NSW to demonstrate that its Board of Directors have been democratically elected. We have six Board Electoral Zones which each elect a Director to the Board of Landcare NSW.
ORDINARY DIRECTORS
In 2024, an Ordinary Director will be elected by the member groups in the following electoral zone:
- The Greater Sydney/South East Electoral Zone – the boundaries of which correspond to the combined boundaries of the NSW LLS Greater Sydney and South East regions.
Candidates for the Ordinary Director position must normally reside within the geographic boundaries of the region they wish to represent. Here is a LINK to a map to help you determine if you qualify to run in the election.
Candidates for the Ordinary Director position must be a member of a local Landcare NSW member group or a District Network. These candidates will need to verify their membership by having their nomination form signed by the secretary of the local association (must be incorporated) or by the district network association or regional association (if local group is unincorporated).
If you live in the Greater Sydney/South East Board electoral zones, you should consider standing for the Board.
NOMINATIONS PROCESS
Nominations will be open to individuals who wish to lodge an Expression of Interest from 3 June to 28 July 2024. All nominated candidates must be vetted and approved by the Nominations Committee before proceeding to the election in the case of Ordinary Director candidates, and appointment in the case of Independent Director candidates.
Elections for Ordinary Directors will be held by electronic ballot online from 1 – 30 September 2024. Successful candidates will be announced at the November 2024 Annual General Meeting and will take office at the first Board meeting thereafter.

REQUIREMENTS FOR ALL DIRECTORS
There are typically ~eight board meetings each year. A combination of in-person and online meetings will be held. Directors are not remunerated; however, all reasonable out-of-pocket travel costs will be covered.
According to the constitution, all persons who seek nomination must meet the following criteria:
- the person supports the purpose and objects of Landcare NSW as outlined in the Landcare NSW Limited Constitution
- the person has consented in writing to be a Director;
- the person is not an Employee of any Landcare organisation or NSW Landcare Program;
- the person is not ineligible to be a Director under:
- the Corporations Act (Cwlth 2001); or
- the ACNC Legislation;
- the person has suitable qualifications, skills and experience to discharge the functions of a Director;
- the person has secured a Director Identification Number from the Australian Securities and Investment Commission, prior to nomination; and,
- the person has been approved as a candidate by the Nominations Committee;
OFFICE BEARERS
At its first meeting, the directors will elect from among themselves a chair, a treasurer and a vice-chair and secretary for one-year terms. The term limits for the chair and the treasurer will be set aside, allowing those individuals to normally serve for up to two three-year terms in addition to whatever time they have previously spent on the Board of Landcare NSW. All directors may stand for election as an office bearer, except for the position of chair which will be restricted to those directors who have previously served one term on the Board (or, the previous Executive Committee). All directors may be asked to serve on sub-committees of the Board and general committees of the Company from time-to-time.

The constitution of Landcare NSW Limited herein is in accordance with the Corporations Act 2001 (Cth) and the requirements of the Australian Securities and Investments Commission (ASIC), the Australian Charities and Not-for-profits Commission (ACNC) and the Australian Taxation Office (ATO).
